1. About these Terms
These Terms & Conditions ("Terms") govern your use of devsspace.com and the services offered under the DevsSpace brand. Services are provided by Techlada LLC, a company licensed in the Sharjah Media City Free Zone (SHAMS), Sharjah, UAE (Trade Licence No. 2324513.01) ("DevsSpace", "we", "us"). Delivery and development are performed by our group company DevsSpace IT Services (Pvt) Ltd (Pakistan). By using our site or engaging our services, you agree to these Terms.
2. Services
We provide software, web and related development and consulting services. The specific scope, deliverables, timelines and price of any engagement are set out in a separate proposal, quotation or statement of work agreed between you and Techlada LLC, which forms part of these Terms. Where a signed agreement conflicts with these Terms, the signed agreement prevails.
3. Fees & Payment
Fees are as stated in the applicable proposal or quotation. Invoices are issued by, and payments are payable to, Techlada LLC. Unless stated otherwise, invoices are due within the period shown on the invoice. Fees are exclusive of any applicable taxes, including UAE VAT, which will be added where required.
4. Intellectual Property
Unless otherwise agreed in writing, ownership of custom deliverables transfers to you upon full payment. We retain rights to our pre-existing materials, tools and know-how, and any third-party or open-source components remain subject to their own licences. Our website content and branding remain our property.
5. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform or receive the services.
6. Warranties & Disclaimer
We will perform services with reasonable skill and care. Except as expressly stated, the site and services are provided "as is" without further warranties of any kind, to the extent permitted by law.
7. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses. Our total liability arising out of any engagement is limited to the fees paid to Techlada LLC for that engagement.
8. Term & Termination
Either party may terminate an engagement as set out in the applicable agreement or on reasonable written notice. Fees for work performed up to termination remain payable.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, including the regulations of the Sharjah Media City Free Zone (SHAMS). The competent courts of Sharjah, UAE have jurisdiction, without prejudice to any mandatory rights you may have under the laws of your country of residence.
10. Changes
We may update these Terms from time to time. The current version is always available on this page with its effective date.
